PG Calc – Fee For Calcs Service Agreement

This Service Agreement (“Agreement”) is made by and between PG Calc LLC (“PG Calc”), a Delaware company, and the Customer.

BY CLICKING “I ACCEPT FEE FOR CALCS TERMS AND CONDITIONS”, YOU AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.

Introduction

PG Calc is in the business of providing certain planned gift services, and Customer desires to have PG Calc perform such services for Customer on the terms and conditions set forth in this Agreement.

Agreement

In consideration of the mutual covenants and agreements set forth below, PG Calc and Customer agree as follows:

Section 1: Services

1.1 Description and Fees

PG Calc will perform for Customer those planned gift services identified by Customer from the Fee For Calcs menu on PG Calc’s website. Fees are due prior to delivery of Services and are based on PG Calc’s most recent published rate schedule.

1.2 Information

Customer acknowledges that PG Calc’s performance relies on information supplied by Customer or its representative and that Customer is responsible for the accuracy and completeness of all such information.

PG Calc shall not be liable for any losses or damages caused by delays resulting from Customer’s failure to provide required information in a timely and accurate manner.

1.3 Delegation

PG Calc may delegate Services to qualified third parties, provided such delegation does not relieve PG Calc of its obligations under this Agreement.

Section 2: Proprietary Material; Electronic Services

2.1 Proprietary Material

PG Calc retains all rights, title, and interest in its systems, methods, software, and intellectual property used in providing the Services (collectively, “PG Calc Intellectual Property”).

Customer Data supplied to PG Calc remains the confidential and proprietary property of Customer.

2.2 Electronic Services

PG Calc may provide Services using electronic media. Customer is granted a non‑exclusive license to use such Electronic Services solely in connection with the Services.

PG Calc is not liable for unlawful interception of electronic communications or changes to data after delivery.

Section 3: Records and Inspection

Customer may inspect Service Data for six (6) months following completion of Services, during PG Calc’s normal business hours and at Customer’s expense.

Section 4: Confidentiality

Each party agrees to protect the Confidential Information of the other and to use such information only in connection with this Agreement.

Section 5: Warranties; Limitation of Liability

5.1 Warranties

PG Calc warrants that Services will be performed in a reasonable and workmanlike manner. All other warranties are expressly disclaimed.

5.2 Limitation of Liability

PG Calc’s total liability under this Agreement shall not exceed the highest amount of fees paid by Customer in any twelve‑month period.

Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages.

Section 6: Term and Termination

This Agreement terminates upon delivery of Services unless earlier terminated for material breach with 30 days’ written notice.

Section 7: Relationship of the Parties

PG Calc acts as an independent contractor and not as an employee or agent of Customer.

Section 8: Notices

All communications shall be sent to the email address provided by Customer.

Section 9: Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Massachusetts.

Section 10: Severability

Any invalid provision shall not affect the enforceability of the remaining provisions.

Section 11: Complete Agreement

This Agreement constitutes the entire agreement between the parties.

Section 12: Headings

Headings are for reference only and do not affect interpretation.
